What Is an Apostille and When Does It Apply to Chinese Documents

1. What an apostille is

An apostille is a certificate attached to or endorsed on a public document, confirming the authenticity of the signature, seal or stamp on that document.

It is issued under the Hague Convention of 5 October 1961 Abolishing the Requirement of Legalisation for Foreign Public Documents, usually called the Apostille Convention.

The apostille is a fixed format. It carries a number, the issuing authority, the country of issue, the identity of the signatory, and the date.

2. What it replaces

Before the Convention, a document moving between countries went through consular legalization: notarization, authentication by the foreign ministry, then legalization by the destination country’s embassy.

The apostille replaces the last two steps. A single certificate issued in the country of origin is accepted in all other party states.

That is the whole mechanism. It reduces a multi-step chain to a single step.

3. When the Convention applies

Three conditions.

The document is a public document within the meaning of the Convention.

Both the issuing country and the destination country are party to the Convention.

Neither has filed an objection that prevents application between them.

All three must hold. Where any fails, the consular route applies.

4. What counts as a public document

The Convention’s definition covers:

Documents emanating from a court or tribunal.

Administrative documents.

Notarial acts.

Official certificates placed on documents.

For commercial purposes, the practical route is usually notarization. A business licence, a contract, a resolution or a company registration document becomes an apostillable document when a notary has certified it.

A document that has not been notarized is generally not apostillable, unless it is already an official document issued by a government authority.

5. What is excluded

The Convention does not apply to documents relating to commercial or customs operations, in the drafting of some interpretations. But the practical position is governed by the receiving authority’s requirements rather than the Convention text alone.

Documents executed by diplomatic or consular agents.

Administrative documents dealing with commercial or customs operations, in certain readings.

The exclusion is where much of the confusion about invoices and certificates of origin arises. The Convention text and the practice of individual receiving authorities do not always align.

6. China’s accession

China acceded to the Convention on 8 March 2023, with effect from 7 November 2023.

From that date, Chinese public documents can receive apostilles, and apostilles issued in other party states are accepted in China.

Apostilles in China are issued by the Ministry of Foreign Affairs, or by authorised local foreign affairs offices in provinces and municipalities with delegated authority.

7. Where this leaves exporters

Two questions determine the route for any destination.

Is the destination a party, and does the Convention apply between it and China?

Does the receiving authority accept an apostilled document for this particular purpose?

The second question is the one that determines outcomes. A destination can be a party and a particular authority can still require legalized documents for a specific purpose.

8. Closing view

The apostille is a simple instrument that replaced a cumbersome process for most of the world’s documents.

Its simplicity is also why it gets over-applied. The Convention answers the circulation question. It does not answer what a receiving authority demands.
