Audit Report Apostille for Overseas Business Registration in Vietnam
The Situation
A trading company in Yiwu came to us with the intake deadline three weeks out, preparing a foreign entity setup for company registration in Vietnam.
The audit report had been notarized and apostilled. It was then examined by the commercial registry, and the objection was not about the Apostille seal. It was about what the earlier stage had certified — the audit firm must hold the licence the receiving authority recognises, and reports from unlicensed firms cannot be certified onward.
What Actually Went Wrong
Vietnam is not covered by the Convention for China until 11 September 2026.
In this case the gap was narrower: the audit firm must hold the licence the receiving authority recognises, and reports from unlicensed firms cannot be certified onward. Everything downstream was procedurally correct and substantively useless, because the receiving side needed the fact and had been given the form.
Vietnam requires consular legalisation until the Convention takes effect.
How It Was Resolved
The fix ran through the audit report plus the firm's practice licence rather than through the Apostille stage. Once that record was in hand, the notarization could certify the report must be signed by two certified public accountants, and single-signature reports are rejected, and the Apostille attached to it meant something.
The redo took five to ten working days at the Apostille stage on top of the time needed to retrieve the record. Because company registration can absorb some delay, the recovery fit inside the original schedule.
The General Rule
Three things decide whether a audit report clears company registration in Vietnam:
One, the audit firm must hold the licence the receiving authority recognises, and reports from unlicensed firms cannot be certified onward.
Two, the report must be signed by two certified public accountants, and single-signature reports are rejected.
Three, Consular legalisation takes three to four weeks, far longer than the Apostille route.
The Apostille stage itself is the predictable part — five to ten working days, no surprises. The surprises all sit upstream and downstream of it.
Check These Before You Submit
- Confirm what the commercial registry in Vietnam requires, in writing, before notarizing
- Check that the notarization certifies the fact — the audit firm must hold the licence the receiving authority recognises, and reports from unlicensed firms cannot be certified onward
- Verify the report must be signed by two certified public accountants, and single-signature reports are rejected
- Have the audit report plus the firm's practice licence ready before the notary appointment
Legal Basis
