Business License Apostille for International Bidding in the UAE

The Situation

A power plant contractor in Harbin came to us after the first submission had been returned, preparing a project bid package for bid submission in the UAE.

The business license had been notarized and apostilled. It was then examined by the tender committee, and the objection was not about the Apostille seal. It was about what the earlier stage had certified — the licence reflects the current registration state, and any change in legal representative, address or capital since issuance makes it outdated.

What Actually Went Wrong

The UAE requires attestation by its own Ministry of Foreign Affairs even after an Apostille.

In this case the gap was narrower: the licence reflects the current registration state, and any change in legal representative, address or capital since issuance makes it outdated. Everything downstream was procedurally correct and substantively useless, because the receiving side needed the fact and had been given the form.

The UAE runs a parallel attestation requirement, so an Apostille is not always final.

How It Was Resolved

The fix ran through the market supervision administration registration extract rather than through the Apostille stage. Once that record was in hand, the notarization could certify the scope of business must match the activity being certified, and narrow scopes are a recurring rejection point, and the Apostille attached to it meant something.

The redo took five to ten working days at the Apostille stage on top of the time needed to retrieve the record. Because bid submission runs on a fixed deadline, that recovery time came out of the client's own buffer rather than extending the deadline.

The General Rule

Three things decide whether a business license clears bid submission in the UAE:

One, the licence reflects the current registration state, and any change in legal representative, address or capital since issuance makes it outdated.

Two, the scope of business must match the activity being certified, and narrow scopes are a recurring rejection point.

Three, UAE attestation adds a stage after the Apostille.

The Apostille stage itself is the predictable part — five to ten working days, no surprises. The surprises all sit upstream and downstream of it.
