Articles of Association Apostille for Overseas Business Registration in Thailand
The Situation
An investor from Shanghai came to us with the intake deadline three weeks out, preparing a holding company formation for company registration in Thailand.
The articles of association had been notarized and apostilled. It was then examined by the commercial registry, and the objection was not about the Apostille seal. It was about what the earlier stage had certified — the charter must be the version currently filed with the market regulator, and older versions are rejected.
What Actually Went Wrong
Thailand is not covered until 28 February 2027, so consular legalisation applies until then.
In this case the gap was narrower: the charter must be the version currently filed with the market regulator, and older versions are rejected. Everything downstream was procedurally correct and substantively useless, because the receiving side needed the fact and had been given the form.
Thailand requires consular legalisation until the Convention takes effect.
How It Was Resolved
The fix ran through the market supervision administration filed charter extract rather than through the Apostille stage. Once that record was in hand, the notarization could certify the charter must be stamped by the market regulator as the filed version, not only by the company, and the Apostille attached to it meant something.
The redo took five to ten working days at the Apostille stage on top of the time needed to retrieve the record. Because company registration can absorb some delay, the recovery fit inside the original schedule.
The General Rule
Three things decide whether a articles of association clears company registration in Thailand:
One, the charter must be the version currently filed with the market regulator, and older versions are rejected.
Two, the charter must be stamped by the market regulator as the filed version, not only by the company.
Three, Consular legalisation dominates the timeline until the Convention takes effect.
The Apostille stage itself is the predictable part — five to ten working days, no surprises. The surprises all sit upstream and downstream of it.
Check These Before You Submit
- Confirm what the commercial registry in Thailand requires, in writing, before notarizing
- Check that the notarization certifies the fact — the charter must be the version currently filed with the market regulator, and older versions are rejected
- Verify the charter must be stamped by the market regulator as the filed version, not only by the company
- Have the market supervision administration filed charter extract ready before the notary appointment
