Business License Apostille for Opening an Overseas Bank Account in Thailand
The Situation
A family office in Shenzhen came to us after the first submission had been returned, preparing a corporate account file for account opening in Thailand.
The business license had been notarized and apostilled. It was then examined by the bank compliance team, and the objection was not about the Apostille seal. It was about what the earlier stage had certified — the licence reflects the current registration state, and any change in legal representative, address or capital since issuance makes it outdated.
What Actually Went Wrong
Thailand is not covered until 28 February 2027, so consular legalisation applies until then.
In this case the gap was narrower: the licence reflects the current registration state, and any change in legal representative, address or capital since issuance makes it outdated. Everything downstream was procedurally correct and substantively useless, because the receiving side needed the fact and had been given the form.
Thailand requires consular legalisation until the Convention takes effect.
How It Was Resolved
The fix ran through the market supervision administration registration extract rather than through the Apostille stage. Once that record was in hand, the notarization could certify the scope of business must match the activity being certified, and narrow scopes are a recurring rejection point, and the Apostille attached to it meant something.
The redo took five to ten working days at the Apostille stage on top of the time needed to retrieve the record. Because account opening can absorb some delay, the recovery fit inside the original schedule.
The General Rule
Three things decide whether a business license clears account opening in Thailand:
One, the licence reflects the current registration state, and any change in legal representative, address or capital since issuance makes it outdated.
Two, the scope of business must match the activity being certified, and narrow scopes are a recurring rejection point.
Three, Consular legalisation dominates the timeline until the Convention takes effect.
The Apostille stage itself is the predictable part — five to ten working days, no surprises. The surprises all sit upstream and downstream of it.
Check These Before You Submit
- Confirm what the bank compliance team in Thailand requires, in writing, before notarizing
- Check that the notarization certifies the fact — the licence reflects the current registration state, and any change in legal representative, address or capital since issuance makes it outdated
- Verify the scope of business must match the activity being certified, and narrow scopes are a recurring rejection point
- Have the market supervision administration registration extract ready before the notary appointment
Legal Basis
Hague Apostille Convention of 5 October 1961; China in force since 7 November 2023.
