Business License Apostille for Overseas Business Registration in Sri Lanka
The Situation
A manufacturer in Dongguan came to us with the appointment already booked, preparing an overseas branch registration for company registration in Sri Lanka.
The business license had been notarized and apostilled. It was then examined by the commercial registry, and the objection was not about the Apostille seal. It was about what the earlier stage had certified — the licence reflects the current registration state, and any change in legal representative, address or capital since issuance makes it outdated.
What Actually Went Wrong
Sri Lanka accepts the Apostille; engineering and investment are the main use cases.
In this case the gap was narrower: the licence reflects the current registration state, and any change in legal representative, address or capital since issuance makes it outdated. Everything downstream was procedurally correct and substantively useless, because the receiving side needed the fact and had been given the form.
Sri Lanka may question notarizations issued by lower-tier notary offices.
How It Was Resolved
The fix ran through the market supervision administration registration extract rather than through the Apostille stage. Once that record was in hand, the notarization could certify the scope of business must match the activity being certified, and narrow scopes are a recurring rejection point, and the Apostille attached to it meant something.
The redo took five to ten working days at the Apostille stage on top of the time needed to retrieve the record. Because company registration can absorb some delay, the recovery fit inside the original schedule.
The General Rule
Three things decide whether a business license clears company registration in Sri Lanka:
One, the licence reflects the current registration state, and any change in legal representative, address or capital since issuance makes it outdated.
Two, the scope of business must match the activity being certified, and narrow scopes are a recurring rejection point.
Three, Sri Lankan authorities review documents closely, so allow verification time.
The Apostille stage itself is the predictable part — five to ten working days, no surprises. The surprises all sit upstream and downstream of it.
Check These Before You Submit
- Confirm what the commercial registry in Sri Lanka requires, in writing, before notarizing
- Check that the notarization certifies the fact — the licence reflects the current registration state, and any change in legal representative, address or capital since issuance makes it outdated
- Verify the scope of business must match the activity being certified, and narrow scopes are a recurring rejection point
- Have the market supervision administration registration extract ready before the notary appointment
