Articles of Association Apostille for Opening an Overseas Bank Account in Spain

The Situation

A consultant in Shanghai came to us with the deadline already inside a month, preparing a personal account opening for account opening in Spain.

The articles of association had been notarized and apostilled. It was then examined by the bank compliance team, and the objection was not about the Apostille seal. It was about what the earlier stage had certified — the charter must be the version currently filed with the market regulator, and older versions are rejected.

What Actually Went Wrong

Spanish authorities require a traducción jurada prepared by a sworn translator.

In this case the gap was narrower: the charter must be the version currently filed with the market regulator, and older versions are rejected. Everything downstream was procedurally correct and substantively useless, because the receiving side needed the fact and had been given the form.

Spain requires sworn translation for all civil status documents without exception.

How It Was Resolved

The fix ran through the market supervision administration filed charter extract rather than through the Apostille stage. Once that record was in hand, the notarization could certify the charter must be stamped by the market regulator as the filed version, not only by the company, and the Apostille attached to it meant something.

The redo took five to ten working days at the Apostille stage on top of the time needed to retrieve the record. Because account opening can absorb some delay, the recovery fit inside the original schedule.

The General Rule

Three things decide whether a articles of association clears account opening in Spain:

One, the charter must be the version currently filed with the market regulator, and older versions are rejected.

Two, the charter must be stamped by the market regulator as the filed version, not only by the company.

Three, Spanish appointment systems are the bottleneck.

The Apostille stage itself is the predictable part — five to ten working days, no surprises. The surprises all sit upstream and downstream of it.
