Articles of Association Apostille for International Bidding in Poland
The Situation
A telecom vendor in Shenzhen came to us after the first submission had been returned, preparing a framework tender file for bid submission in Poland.
The articles of association had been notarized and apostilled. It was then examined by the tender committee, and the objection was not about the Apostille seal. It was about what the earlier stage had certified — the charter must be the version currently filed with the market regulator, and older versions are rejected.
What Actually Went Wrong
Polish authorities require translation by a tłumacz przysięgły sworn in Poland.
In this case the gap was narrower: the charter must be the version currently filed with the market regulator, and older versions are rejected. Everything downstream was procedurally correct and substantively useless, because the receiving side needed the fact and had been given the form.
Poland requires sworn translation, and the swearing must be Polish.
How It Was Resolved
The fix ran through the market supervision administration filed charter extract rather than through the Apostille stage. Once that record was in hand, the notarization could certify the charter must be stamped by the market regulator as the filed version, not only by the company, and the Apostille attached to it meant something.
The redo took five to ten working days at the Apostille stage on top of the time needed to retrieve the record. Because bid submission runs on a fixed deadline, that recovery time came out of the client's own buffer rather than extending the deadline.
The General Rule
Three things decide whether a articles of association clears bid submission in Poland:
One, the charter must be the version currently filed with the market regulator, and older versions are rejected.
Two, the charter must be stamped by the market regulator as the filed version, not only by the company.
Three, Polish work permit processing runs parallel to the document stage.
The Apostille stage itself is the predictable part — five to ten working days, no surprises. The surprises all sit upstream and downstream of it.
Check These Before You Submit
- Confirm what the tender committee in Poland requires, in writing, before notarizing
- Check that the notarization certifies the fact — the charter must be the version currently filed with the market regulator, and older versions are rejected
- Verify the charter must be stamped by the market regulator as the filed version, not only by the company
- Have the market supervision administration filed charter extract ready before the notary appointment
