Certificate of Origin Apostille for Overseas Business Registration in Indonesia
The Situation
An investor from Shanghai came to us with the appointment already booked, preparing a holding company formation for company registration in Indonesia.
The certificate of origin had been notarized and apostilled. It was then examined by the commercial registry, and the objection was not about the Apostille seal. It was about what the earlier stage had certified — the certificate must match the shipment documentation exactly, and any discrepancy with the invoice or packing list voids the whole set.
What Actually Went Wrong
Indonesia accepts the Apostille; the main friction is the translation requirement.
In this case the gap was narrower: the certificate must match the shipment documentation exactly, and any discrepancy with the invoice or packing list voids the whole set. Everything downstream was procedurally correct and substantively useless, because the receiving side needed the fact and had been given the form.
Indonesia requires Indonesian translations prepared by sworn translators.
How It Was Resolved
The fix ran through the CCPIT or customs certificate of origin issued against the shipment rather than through the Apostille stage. Once that record was in hand, the notarization could certify the HS code, quantity and consignee must match the commercial invoice line for line, and the Apostille attached to it meant something.
The redo took five to ten working days at the Apostille stage on top of the time needed to retrieve the record. Because company registration can absorb some delay, the recovery fit inside the original schedule.
The General Rule
Three things decide whether a certificate of origin clears company registration in Indonesia:
One, the certificate must match the shipment documentation exactly, and any discrepancy with the invoice or packing list voids the whole set.
Two, the HS code, quantity and consignee must match the commercial invoice line for line.
Three, Indonesian translation adds three to five working days.
The Apostille stage itself is the predictable part — five to ten working days, no surprises. The surprises all sit upstream and downstream of it.
Check These Before You Submit
- Confirm what the commercial registry in Indonesia requires, in writing, before notarizing
- Check that the notarization certifies the fact — the certificate must match the shipment documentation exactly, and any discrepancy with the invoice or packing list voids the whole set
- Verify the HS code, quantity and consignee must match the commercial invoice line for line
- Have the CCPIT or customs certificate of origin issued against the shipment ready before the notary appointment
