Power of Attorney Apostille for Overseas Business Registration in Belgium

The Situation

An investor from Shanghai came to us after the first submission had been returned, preparing a holding company formation for company registration in Belgium.

The power of attorney had been notarized and apostilled. It was then examined by the commercial registry, and the objection was not about the Apostille seal. It was about what the earlier stage had certified — the signatory must sign in front of the notary, and a POA signed elsewhere cannot be notarized after the fact.

What Actually Went Wrong

Belgium accepts the Apostille; translations may need to be Dutch, French or German by region.

In this case the gap was narrower: the signatory must sign in front of the notary, and a POA signed elsewhere cannot be notarized after the fact. Everything downstream was procedurally correct and substantively useless, because the receiving side needed the fact and had been given the form.

Belgium has three language regions with different translation requirements.

How It Was Resolved

The fix ran through the notarized signature witnessed by the notary public rather than through the Apostille stage. Once that record was in hand, the notarization could certify the scope of authority must match what the receiving party will actually do, and narrow scopes cause problems later, and the Apostille attached to it meant something.

The redo took five to ten working days at the Apostille stage on top of the time needed to retrieve the record. Because company registration can absorb some delay, the recovery fit inside the original schedule.

The General Rule

Three things decide whether a power of attorney clears company registration in Belgium:

One, the signatory must sign in front of the notary, and a POA signed elsewhere cannot be notarized after the fact.

Two, the scope of authority must match what the receiving party will actually do, and narrow scopes cause problems later.

Three, Belgian translation requirements depend on the region, so confirm the region first.

The Apostille stage itself is the predictable part — five to ten working days, no surprises. The surprises all sit upstream and downstream of it.
